Terms of Service

These Terms of Service ("Terms") govern your use of the ME91 Digital website (me91.in) and any service you engage us for - website development, AI automation, SEO, digital marketing, branding, or related digital services. By submitting an enquiry, making a payment, or engaging us for a project, you agree to these Terms.

If you don't agree with any part of these Terms, please don't use our website or engage our services - contact us first at hello@me91.in so we can address your concerns.

1. Who We Are

ME91 Digital is a full-stack digital agency providing website development, AI automation, SEO, digital marketing, branding, and growth services to clients across India, including Jaipur, Delhi, Gurugram, and Gujarat.

2. How a Project Works

• We provide a written quote or proposal outlining scope, deliverables, timeline, and price before any work begins.
• Work begins once you accept the quote and pay the agreed advance/booking payment (see our Refund & Cancellation Policy for how this is handled).
• For larger projects, work is delivered in milestones, each requiring your review and approval before moving to the next stage.
• Ongoing services (SEO, ad management, AI automation subscriptions) are billed monthly and continue until either party gives notice to cancel, as described in our Refund & Cancellation Policy.

3. Your Responsibilities as a Client

To deliver your project on time and to the agreed quality, we need you to:

• Provide content, images, logins, and access we reasonably request in a timely manner.
• Give clear, timely feedback during review stages - delays in feedback can push back delivery timelines.
• Ensure any content, images, or brand assets you provide us are ones you have the legal right to use.
• Make payments according to the agreed schedule.

4. Ownership & Intellectual Property

• Once a project is paid in full, you own the final deliverables - the website code, design files, and content created specifically for you - except for any third-party tools, plugins, stock assets, or licensed software used within it, which remain governed by their own licenses.
• Until final payment is received, ME91 Digital retains ownership of the work in progress.
• We may showcase completed projects in our portfolio, case studies, and marketing materials unless you request otherwise in writing (for example, for confidential or NDA-covered work).

5. Revisions & Change Requests

Each project quote specifies the number of revision rounds included. Reasonable revisions within the agreed scope are included at no extra cost. Requests that go beyond the original agreed scope (new pages, new features, a different design direction after approval) are treated as a change request and quoted separately before we proceed.

6. Timelines

We provide realistic timelines based on the agreed scope. Timelines can shift if: content/access isn't provided on time, feedback is delayed, or the scope changes mid-project. We'll always flag a timeline change and the reason for it as soon as we're aware of it - we don't let projects silently slip.

7. Payments

Payments are processed via Razorpay. See our Refund & Cancellation Policy for full detail on advance payments, milestone billing, monthly retainers, and refund eligibility. Late payment on an active project may pause further work until the account is current.

8. Post-Launch Support & Maintenance

Unless your project includes an ongoing maintenance/retainer plan, our responsibility for a delivered website or system covers the agreed warranty period stated in your project quote (typically 30 days) for fixing genuine defects in what we built. Ongoing updates, new features, hosting renewals, and third-party plugin updates after that period are available as a separate maintenance service.

9. Limitation of Liability

We build and test our work carefully, but we can't guarantee specific business outcomes (rankings, ad performance, conversion rates, or revenue) since these depend on many factors outside our control - your market, budget, competitors, and how the finished product is used. Our liability for any claim related to a project is limited to the amount you paid us for that specific project.

10. Third-Party Services

Projects may rely on third-party services - hosting providers, domain registrars, Google/Meta ad platforms, Razorpay, AI model providers, or CMS plugins. We're not responsible for outages, price changes, or policy changes made by these third parties, though we'll help you navigate any impact on your project where we can.

11. Confidentiality

We treat information you share with us about your business as confidential and won't disclose it to third parties except as needed to deliver the project (e.g., a subcontractor bound by the same confidentiality expectations) or as required by law.

12. Termination

Either party can end an active project engagement - see our Refund & Cancellation Policy for how payments already made are handled in that case. We reserve the right to decline or pause work on a project that involves illegal content or activity.

13. Governing Law

These Terms are governed by the laws of India. Any dispute arising from these Terms or a project engagement will first be addressed through direct discussion between the parties, and if unresolved, is subject to the jurisdiction of the courts in Rajasthan, India.

14. Changes to These Terms

We may update these Terms from time to time. The Terms in effect at the time you sign a project quote or make a payment are the ones that apply to that engagement. The "Last Updated" date above always reflects the current version.
